Founders: your cap table is a legal document, not a spreadsheet you fix later. The three things I see cost startups the most at their first raise — (1) no vesting on founder shares, (2) IP never assigned to the company, (3) handshake equity splits. If you're ever arrested: you have the right to remain silent — use it. Politely decline to answer questions until your lawyer is present. Nothing you say 'to clear things up' will help you, and it can absolutely be used against you. Save a defense attorney's number before you ever need one.
